1. Acceptance of Terms

By checking the acceptance checkbox during the onboarding process, you confirm that: (a) you are at least 18 years of age; (b) you have the legal authority to enter into this agreement on behalf of yourself or the entity you represent; and (c) you accept these Terms & Conditions, Privacy Policy, and any policies incorporated herein by reference.

The act of checking the checkbox constitutes a legally binding electronic signature under UAE Electronic Transactions and Trust Services Law No. 46 of 2021, EU eIDAS Regulation, and US ESIGN Act.

EEAB Studio Limited records the date, time, IP address, browser user agent, and Terms version at the time of acceptance. This record may be used as evidence of your agreement in any dispute.

2. Description of Service

EEAB Studio Limited ("Company") provides a Software-as-a-Service (SaaS) platform that enables businesses ("Tenants") to deploy a personalised AI-powered assistant ("AI Assistant") for communicating with their end-users and customers ("End Users") across multiple messaging channels. Core features include:

  1. AI Assistant powered by OpenAI GPT-4o large language model
  2. Multi-channel integrations: WhatsApp via 360Dialog, Telegram, Email via Nylas, and Webchat
  3. Document and knowledge-base ingestion for AI context
  4. Conversation management dashboard
  5. Analytics and reporting on AI interactions
  6. Credit-based usage system

Infrastructure: AWS S3 for file and document storage, PostgreSQL for relational data storage. AI inference is performed via OpenAI's API.

The Service is provided on an "as-available" basis and the Company does not guarantee uninterrupted availability. Certain features may be released in beta or experimental form without warranty; the Company reserves the right to modify, suspend, or discontinue them at any time without liability.

3. User Obligations

3.1 Lawful Use. Tenant agrees to use the Service solely for lawful business purposes and in compliance with all applicable local, national, and international laws, regulations, and third-party policies — including data protection laws, consumer protection laws, anti-spam regulations, and acceptable use policies of integrated platforms (Meta/WhatsApp, Telegram, Nylas).

3.2 Account Security. Tenant is solely responsible for maintaining the confidentiality of account credentials and for all activity occurring under the Tenant's account. Tenant must immediately notify the Company at ceo@eeabstudio.com of any unauthorised use or security breach.

3.3 Accurate Information. Tenant agrees to provide accurate, current, and complete information during onboarding and to keep such information updated. Providing false information may result in immediate termination.

3.4 Prohibited Conduct. Tenant must not:

  • Transmit spam, unsolicited communications, or engage in phishing or fraud
  • Upload or process content that is illegal, defamatory, obscene, or violates third-party intellectual property rights
  • Attempt to reverse-engineer, disassemble, or decompile any component of the Service
  • Process data of minors under 13 without appropriate parental consent
  • Attempt to circumvent rate limits, security controls, or access restrictions
  • Resell, sublicense, or white-label the Service without prior written consent
  • Use the AI Assistant to make automated decisions with legal or significant personal effect without human oversight and disclosure to End Users

3.5 End User Compliance. Tenant is solely responsible for obtaining all necessary consents from its End Users for data processing, AI interactions, and messaging communications. Tenant must maintain its own Terms of Service and Privacy Policy governing the relationship with its End Users.

4. AI Assistant Disclaimer

⚠️ IMPORTANT: The AI Assistant is powered by a large language model and may produce inaccurate, incomplete, or inappropriate outputs. Do not rely solely on AI outputs for critical business decisions.

4.1 Nature of AI Outputs. The AI Assistant generates responses based on probabilistic language modelling. It does not have consciousness, intent, or legal capacity. Outputs may contain factual errors, hallucinations, outdated information, or content that is inappropriate in certain contexts. The Company makes no representation that AI outputs are accurate, complete, reliable, or fit for any particular purpose.

4.2 No Liability for AI Actions.

EEAB STUDIO LIMITED SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY STATEMENT MADE, ADVICE GIVEN, COMMITMENT IMPLIED, OR ACTION TAKEN BY THE AI ASSISTANT IN THE COURSE OF CONVERSATIONS WITH TENANT'S END USERS.

Any legal, financial, medical, or other professional-grade advice generated by the AI Assistant is not verified and must not be relied upon as such. Tenant assumes full responsibility for all consequences arising from the deployment of the AI Assistant to its End Users.

4.3 Disclosure Obligation. Tenant is solely responsible for disclosing to its End Users that they are communicating with an AI system and not a human representative. Failure to make such disclosure may violate applicable consumer protection or AI transparency laws including the EU AI Act and applicable US state laws. The Company shall bear no liability for Tenant's failure to make such disclosures.

4.4 Regulatory Compliance. Tenant is solely responsible for ensuring that its deployment and use of AI-powered communications complies with all applicable AI regulations, consumer protection laws, and sector-specific regulations in the Tenant's jurisdiction.

4.5 Human Oversight. Tenant acknowledges the importance of maintaining adequate human oversight of AI-generated communications, particularly for high-risk use cases including healthcare, financial advice, legal guidance, and communications with vulnerable populations.

5. Data & Privacy

5.1 Data Collected. The Company collects and processes:

  • (a) Tenant account data: business name, contact details, billing information, onboarding responses
  • (b) End User conversation data: messages exchanged with the AI Assistant via all integrated channels
  • (c) Uploaded content: documents, knowledge-base files, and other materials uploaded by Tenant
  • (d) Usage data: credit consumption, session metadata, API call logs
  • (e) Technical data: IP addresses, browser/device information, cookies

5.2 Storage. Tenant data and End User conversation data are stored in PostgreSQL databases and AWS S3. Data may be stored in servers located in the European Union, United Arab Emirates, or the United States of America. The Company implements commercially reasonable technical and organisational measures to protect data against unauthorised access, loss, or disclosure.

5.3 OpenAI Processing. Tenant acknowledges and agrees that conversation data, including End User messages and uploaded documents, will be transmitted to OpenAI, L.L.C. for AI inference purposes. OpenAI processes this data pursuant to its own API Data Usage Policies. Tenant is responsible for ensuring it has obtained all necessary consents from End Users for such processing. The Company shall not be liable for OpenAI's handling of data.

5.4 GDPR. Where Tenant processes personal data of individuals in the EU/EEA, Tenant acts as Data Controller and the Company acts as Data Processor. The EU Standard Contractual Clauses (SCCs) for Controller-to-Processor transfers are hereby incorporated into these Terms by reference.

5.5 UAE PDPL. Both parties agree to comply with UAE Federal Decree Law No. 45 of 2021 on the Protection of Personal Data (PDPL) and its implementing regulations.

5.6 Retention. Account data is retained for 12 months following termination unless a longer period is required by law. End User conversation data is retained per Tenant dashboard settings (minimum 30 days for fraud prevention).

5.7 Deletion. Data deletion requests to ceo@eeabstudio.com are processed within 30 days of a verified request, except where retention is required by law or legitimate business interests.

6. Third-Party Integrations

6.1 WhatsApp (Meta Platforms, Inc.), Telegram (Telegram Messenger Inc.), Email (Nylas, Inc.), and 360Dialog GmbH are independent third-party service providers. The Company has no control over and assumes no responsibility for the availability, accuracy, content, privacy practices, or policies of these third-party services.

6.2 The Company shall not be liable for any loss, damage, or disruption arising from:

  • (a) Downtime or outages of WhatsApp, Telegram, Nylas, 360Dialog, OpenAI, or AWS
  • (b) Changes to third-party APIs, terms of service, or platform policies
  • (c) Suspension or termination of Tenant's access to a third-party platform
  • (d) Failure of messages to be delivered due to third-party network issues

6.3 Tenant is solely responsible for ensuring its use of the Service complies with the terms of service of each integrated third-party platform, including WhatsApp Business Policy and Telegram's Terms of Service. Violations of third-party terms that result in Tenant's account being suspended or banned shall not entitle Tenant to any refund.

7. Intellectual Property

7.1 All intellectual property rights in and to the EEAB Studio Limited platform, including its software, design, trademarks, trade names, and documentation, are owned by or licensed to the Company. These Terms do not grant Tenant any ownership interest in the platform.

7.2 Tenant retains ownership of all content, documents, data, and materials uploaded to the Service ("Tenant Content"). By uploading Tenant Content, Tenant grants the Company a non-exclusive, worldwide, royalty-free licence to use, copy, process, and store Tenant Content solely for the purpose of providing the Service.

7.3 Tenant warrants that it has all necessary rights, licences, and permissions to upload Tenant Content and that Tenant Content does not infringe any third-party intellectual property, privacy, or other rights. Tenant shall indemnify the Company against any claims arising from Tenant Content.

7.4 Outputs generated by the AI Assistant are provided to Tenant on an as-is basis. The Company does not assert ownership over AI-generated outputs but makes no representation that AI outputs are free from third-party IP claims. Tenant assumes full responsibility for any use of AI outputs.

7.5 If Tenant provides feedback, suggestions, or ideas regarding the Service, Tenant grants the Company a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose including improving the Service.

8. Payment & Refunds

8.1 Credits System. Access to the Service is governed by a credit-based usage system. Credits are purchased in advance and consumed according to usage of Service features. The credit pricing schedule is published on the EEAB Studio website and is subject to change with 14 days' notice to existing Tenants.

8.2 No Refund Policy.

ALL PURCHASES OF CREDITS ARE FINAL AND NON-REFUNDABLE.

The Company does not offer refunds for: unused credits, whether at account termination or otherwise; credits consumed due to AI errors, unexpected outputs, or third-party integration failures; subscription fees for periods already commenced; credits lost due to Tenant error or misconfiguration. Exceptions may be granted solely at the Company's discretion in the form of credit restoration, not monetary refund, unless required by applicable mandatory consumer protection law.

8.3 Taxes. Prices are exclusive of applicable taxes. Tenant is responsible for all applicable VAT, GST, or other taxes. UAE-based Tenants will be charged VAT at the applicable rate.

8.4 Disputes. Billing disputes must be raised in writing to ceo@eeabstudio.com within 30 days of the charge. Failure to dispute within this period constitutes acceptance of the charge.

9. Limitation of Liability

9.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. EEAB STUDIO LIMITED EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UNINTERRUPTED SERVICE, ERROR-FREE OPERATION, ACCURACY OF AI OUTPUTS, AND COMPATIBILITY WITH ANY THIRD-PARTY SYSTEMS.

9.2 IN NO EVENT SHALL EEAB STUDIO LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 THE COMPANY'S TOTAL AGGREGATE LIABILITY TO TENANT FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY TENANT IN THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD 500, WHICHEVER IS LOWER.

9.4 Force Majeure. The Company shall not be liable for any failure or delay caused by circumstances beyond its reasonable control, including acts of God, war, civil unrest, terrorism, government action, pandemics, cyberattacks, failures or outages of OpenAI's API, AWS infrastructure, WhatsApp/Meta platforms, Telegram, Nylas, 360Dialog, or any other third-party service provider, internet service provider failures, or power outages.

10. Indemnification

Tenant agrees to indemnify, defend, and hold harmless EEAB Studio Limited and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and legal fees arising out of or relating to:

  • (a) Tenant's use of or access to the Service
  • (b) Tenant's violation of these Terms
  • (c) Any claim by an End User arising from the Tenant's deployment of the AI Assistant, including claims relating to AI outputs, data processing, or lack of disclosure that communications were AI-generated
  • (d) Tenant Content, including any claim that Tenant Content infringes the rights of any third party
  • (e) Tenant's violation of any applicable law, regulation, or third-party rights
  • (f) Any regulatory investigation, fine, or enforcement action directed at Tenant's use of the Service
  • (g) Tenant's failure to obtain necessary consents from End Users for data processing or AI communications

11. Termination

11.1 Termination by Tenant. Tenant may terminate its account at any time by providing written notice to ceo@eeabstudio.com. Termination does not entitle Tenant to any refund of unused credits.

11.2 Termination by the Company. The Company may suspend or terminate Tenant's access immediately and without notice if:

  • Tenant breaches any provision of these Terms
  • Tenant's account is used for fraudulent, illegal, or abusive activities
  • Tenant's account poses a security risk
  • Required by applicable law or government order
  • A third-party integration provider suspends or terminates Tenant's access

11.3 Effect of Termination. Upon termination: all rights granted to Tenant cease immediately; Tenant's access to the Service and its data will be disabled; the Company will retain Tenant data for the period specified in Section 5.6. Sections 4, 7, 9, 10, 12, and 15 survive termination.

12. Governing Law & Arbitration

12.1 These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the United Arab Emirates and the laws of the Emirate of Abu Dhabi, without regard to conflict of law principles.

12.2 Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be finally settled by arbitration under the rules of the Dubai International Arbitration Centre (DIAC) by one arbitrator appointed in accordance with said rules. The seat of arbitration shall be Abu Dhabi, UAE. The language of the arbitration shall be English.

12.3 Either party may seek emergency injunctive or other interim relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.

12.4 CLASS ACTION WAIVER: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TENANT WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR CONSOLIDATED PROCEEDING AGAINST EEAB STUDIO LIMITED.

13. Changes to Terms

EEAB Studio Limited reserves the right to modify these Terms at any time. Material changes will be notified to Tenant via email or in-platform notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes Tenant's acceptance of the revised Terms.

The current version is identified by the version number and date at the top of this document. Previous versions are available upon request to ceo@eeabstudio.com.

If Tenant does not agree to material changes, Tenant's sole remedy is to discontinue use and terminate the account per Section 11.1.

15. Privacy Policy

15.1 Controller & Processor. EEAB Studio Limited acts as Data Controller for Tenant account data and as Data Processor for End User personal data processed on Tenant's behalf. Tenant acts as Data Controller for End User personal data.

15.2 Data Collected.

  • (a) Registration data: business name, contact person, email, phone, address, company details
  • (b) Usage data: log data, credit usage, feature interactions, session metadata
  • (c) Communication data: messages sent and received through the AI Assistant across all channels
  • (d) Uploaded data: documents, knowledge base files, images, and other content uploaded by Tenant
  • (e) Technical data: IP addresses, browser type, operating system, cookies, and similar tracking data

15.3 How We Use Data. To provide and maintain the Service; to authenticate Tenant accounts and prevent fraud; to process AI inference requests via OpenAI's API; to communicate with Tenant regarding the Service, billing, and legal matters; to improve and develop new features using aggregated, anonymised data; to comply with legal obligations and enforce these Terms.

15.4 Data Sharing. The Company does not sell personal data. Data is shared only with:

  • OpenAI (AI inference, subject to OpenAI's data processing terms)
  • AWS (cloud infrastructure and file storage)
  • 360Dialog, Nylas, Telegram (message delivery through integrated channels)
  • Payment processors (PCI-DSS compliant)
  • Legal authorities where required by applicable law or court order

15.5 Cookies. The Service uses essential cookies for authentication and session management, and optional analytics cookies. Disabling essential cookies may impair Service functionality.

15.6 Data Subject Rights. Depending on applicable law, individuals may have the right to: access their personal data; correct inaccurate data; request deletion; restrict or object to processing; data portability. Requests to ceo@eeabstudio.com, responded to within 30 days with identity verification required.

15.7 Security. The Company implements TLS 1.2+ encryption in transit, encryption at rest for sensitive fields, access controls, audit logging, and regular security assessments.

15.8 International Transfers. Data may be transferred to and processed in countries outside the Tenant's jurisdiction. For transfers from the EU/EEA, such transfers are subject to EU Standard Contractual Clauses (SCCs).

15.9 Children's Privacy. The Service is not directed to individuals under the age of 18. Tenant must not use the Service to process the personal data of minors without appropriate legal basis.
